Peabody Treatment Progress Battery EULA
PLEASE READ THE FOLLOWING AGREEMENT CAREFULLY. BY SELECTING THE "I ACCEPT THE TERMS IN THE LICENSE AGREEMENT" OPTION AT THE END OF THIS AGREEMENT, YOU INDICATE YOUR ACCEPTANCE OF ITS TERMS AND CONDITIONS AND AGREE TO BE BOUND AS SET FORTH HEREIN. YOU REPRESENT AND WARRANT THAT YOU HAVE THE REQUISITE AUTHORITY AND LEGAL CAPACITY TO BIND YOUR ORGANIZATION TO THIS AGREEMENT. THE LICENSE IS FOR USE BY THE ACADEMIC NOT-FOR PROFIT INSTITUTIONS. BY SELECTING THE “I ACCEPT THE TERMS IN THE LICENSE AGREEMENT" OPTION AT THE END OF THIS AGREEMENT, YOU ARE REPRESENTING THAT YOUR INSTITUTION MEETS THE CRITERIA OF A NOT-FOR-PROFIT INSTITUTION.
Peabody Treatment Progress Battery
License Agreement
Please read this License Agreement very carefully. It contains information regarding how you (the “Licensee”) may use and not use the Peabody Treatment Progress Battery (“PTPB”) and the instruments developed for the battery. Respondent versions include youth, adult caregivers, and counselors/clinicians.
PRICING
If you are an Eligible User who will use the PTPB for a Non-Profit Purpose (as those terms are defined below), you may use the PTPB at no cost subject to and in adherence with the terms of this License Agreement.
NON-PROFIT USERS ELIGIBLE TO USE THE PTPB AT NO COST
If you are a non-profit educational or research organization (an “Eligible User”) and you will use the PTPB solely for non-profit educational or non-profit research purposes, or academic research or not-for-profit educational purposes (“Non-Profit Purpose”), Vanderbilt will grant a license to you to use the PTPB provided that you comply with all terms of the License Agreement.
LICENSE
Vanderbilt University grants to you a non-exclusive, revocable license to use the PTPB for the Purpose listed below if you follow each and every restriction set forth in this License Agreement.
SCOPE OF GRANT
You may:
- Make copies of the PTPB for the internal, non-commercial use of your company, organization, or institution only and for no other purpose.
- Customize the appearance of the PTPB to address the internal needs of your organization or institution. This includes modifications of the spelling of certain words to reflect local spelling. The license does not permit translation into a language other than English.
You may NOT:
- Distribute the PTPB to or allow others to use the PTBP outside of your organization or institution. These prohibitions extend to your agents and independent contractors.
- Charge others for the use of the PTPB.
- Create derivative works based on the PTPB for distribution or usage outside of your organization or institution excluding those applications described above.
- Modify or change the content, wording, or organization of the PTPB except to customize its appearance as noted above.
- Use the PTPB in such a way as to condone, encourage, promote or provide pirated copies of the assessment product.
- Modify and/or remove any copyright notices or labels on the PTPB, its measures or in any header of a script source file.
DISCLAIMER OF WARRANTY
THE PTPB IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PTPB IS BORNE BY YOU. SHOULD THE ASSESSMENT PRODUCT PROVE DEFECTIVE, YOU AND NOT VANDERBILT UNIVERSITY ASSUME THE ENTIRE COST OF ANY REMEDIATION. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS LICENSE AGREEMENT.
Vanderbilt University requires agreement to the terms and conditions of this License Agreement as a condition precedent to use of the PTPB. No license is granted unless and until potential licensees have agreed to these terms.
TITLE
Title, ownership rights, and intellectual property rights in and to the PTPB shall remain with Vanderbilt University. The PTPB is protected by copyright laws and treaties.
COPIES, NOTICES, AND CREDITS
All copies of the PTPB made by the Licensee shall include the copyright notice and other notices and credits in the PTPB. Such notices may not be deleted or changed by Licensee.
TERMINATION
This Agreement will terminate automatically if you fail to comply with the limitations described herein. On termination, you must destroy all copies of the PTPB within 48 hours of such termination.
MISCELLANEOUS
Vanderbilt University reserves the right to publish a selected list of users of the PTPB. Vanderbilt University reserves the right to change the terms of this License Agreement at any time. Failure to receive notification of a change of this License Agreement does not make those changes invalid. This License Agreement shall be governed by the laws of the State of Tennessee and may not be transferred or assigned by you. No technical support will be provided.

RIGHTS RESERVED BY VANDERBILT
Vanderbilt reserves the right to:
- Terminate this license at any time and for any reason, in its sole and absolute discretion.
- Interpret the provisions of this License Agreement including, but not limited to, interpretations regarding who is an “Eligible User” and what is a “Non-Profit Purpose.”
